Agreement
These Terms of Service (“Terms”) govern your access to and use of the ChefOS platform, website, and related services (together, the “Service”), provided by ChefOS Systems, Inc. (“ChefOS,” “we,” “us”).
By accessing the Service, you agree to these Terms. If you are accepting them on behalf of a restaurant, company, or other entity, you represent that you have the authority to bind that entity.
The Service
ChefOS is an operating system for restaurants — a unified platform for scheduling, inventory, sales analytics, waste reduction, team communication, and AI-powered reporting. We continuously improve the Service, and may add, change, or remove features with reasonable notice.
We provide the Service with commercially reasonable skill and care, and maintain a target uptime of 99.99% on our standard plans.
Accounts
You need an account to use most of ChefOS. You are responsible for keeping your credentials secure and for activity that occurs under your account. Notify us immediately at security@chefos.us if you suspect unauthorized access.
You must be at least 18 years old to create an account.
Acceptable use
You agree not to:
- Use the Service in violation of any law or the rights of any third party.
- Reverse-engineer, scrape, or attempt to extract the source code of the Service.
- Interfere with or disrupt the integrity or performance of the Service, including by uploading malware or running denial of service attacks.
- Use the Service to build a competing product or service.
- Resell or sublicense the Service without our written consent.
Subscription and billing
Access to ChefOS is sold on a subscription basis. Fees, invoicing cadence, and included features are set out in your order form or the plan you select at checkout.
Subscriptions renew automatically at the end of each term unless canceled at least 30 days before renewal. All fees are non-refundable except where required by law or explicitly stated in your order form. Overdue invoices accrue interest at 1% per month.
Customer data
You retain all rights to data you submit to the Service (“Customer Data”). You grant ChefOS a non-exclusive, worldwide license to host, process, and display Customer Data solely to provide and improve the Service for you.
We do not sell Customer Data. We do not train foundational AI models on Customer Data unless explicitly permitted in writing.
You can export Customer Data at any time from the dashboard. Upon termination, we delete Customer Data from production systems within 30 days and from backups within 90 days.
Data Processing Addendum
For customers subject to GDPR, CCPA, or similar regulations, our Data Processing Addendum (“DPA”) forms part of these Terms. Request a signed copy by emailing legal@chefos.us.
The DPA sets out our commitments as a processor: subprocessor management, security controls, breach notification, international transfer mechanisms, and your rights as a data controller.
Intellectual property
The Service, including its software, design, and documentation, is the property of ChefOS and is protected by copyright, trademark, and other laws. We grant you a limited, revocable, non-transferable license to use the Service for its intended purpose during your subscription.
Feedback you send us about the Service may be used freely without obligation.
Termination
You can cancel your subscription at any time from the dashboard or by emailing us. Termination takes effect at the end of the current billing term.
We may suspend or terminate your access immediately if you materially breach these Terms, including the Acceptable Use section, or if required by law.
Disclaimers
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, ChefOS disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
ChefOS helps you run a better restaurant. It is not a substitute for professional accounting, legal, or tax advice.
Limitation of liability
To the maximum extent permitted by law, ChefOS’s aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the fees you paid us in the twelve months preceding the event giving rise to the claim.
Neither party is liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data.
Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising out of these Terms will be resolved exclusively in the state or federal courts located in Delaware.
Changes to these Terms
We may update these Terms as the Service evolves. When we make material changes, we will notify active customers by email at least 30 days before the changes take effect.
